Terms of Service

Last updated: August 28, 2026

1. Who We Are and What These Terms Cover

Welcome to Chinasource. These Terms of Service ("Terms") are a legal agreement between you ("you", "your", or the "Buyer") and LeadsNavi Pte. Ltd., a company incorporated in Singapore with registered office at 64D KALLANG PUDDING ROAD, #10-00, TANNERY BUILDING, Singapore 349323 ("Chinasource", "we", "us", or "our"). They govern your use of the Chinasource website at chinasource.com, our mobile applications, and our WhatsApp Business service (together, the "Service").

Please read these Terms carefully. By accessing the Service, creating an account, responding "YES" or otherwise confirming acceptance on WhatsApp, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or other legal entity, you confirm you have authority to bind that entity, and "you" refers to that entity.

2. What Chinasource Is

Chinasource is an AI-assisted sourcing platform. We help you describe what you want to source, suggest Chinese suppliers from our directory who may meet your needs, and structure the early stages of communication between you and those suppliers.

Chinasource is not:

  • a seller of any goods or services;
  • a merchant, importer, exporter, or shipper of any goods;
  • a marketplace operator or transaction facilitator;
  • your agent, broker, or fiduciary;
  • a customs broker, freight forwarder, lawyer, tax adviser, financial adviser, or other professional adviser;
  • an auditor, certifier, inspection body, or due-diligence provider;
  • a guarantor of any supplier, of any goods or services, or of any transaction.

Any contract you enter into is between you and the supplier directly, on terms agreed between you. Chinasource is not a party to that contract and has no responsibility for its performance.

3. The AI Agent

Parts of the Service operate through an artificial intelligence agent that interacts with you in natural language. You are interacting with AI, not a human. The AI agent helps you describe sourcing requirements, navigates our supplier directory, and supports communication. The AI agent's outputs are generated automatically and may be incomplete, inaccurate, or out of date. You must not rely on AI outputs as professional advice and must independently verify anything material to your decisions.

The AI agent will not provide:

  • legal, tax, accounting, customs, export-control, payment-structuring, shipping, or other regulated advice;
  • opinions, ratings, or assessments of any specific supplier's reliability, integrity, financial standing, regulatory status, or compliance with applicable law;
  • audits, verifications, certifications, due-diligence reports, or background checks of any supplier;
  • warranties or guarantees about any supplier or any goods.

If the AI provides information that touches any of the above topics, treat it as informational only and seek advice from a qualified professional.

If the AI agent can't help with what you're asking, you can ask to speak to someone at Chinasource.

4. Your Account, Eligibility, and Acceptable Use

You must be at least 18 years old and able to enter into a binding contract under the laws applicable to you. The Service is intended for business buyers; if you are a consumer using it for personal purposes, you may not have the benefit of consumer-protection rights that the Service does not provide for. Where local law gives you consumer rights that cannot be waived, those rights are preserved.

You agree to provide accurate information when registering and to keep your account credentials secure. You are responsible for all activity on your account. You must notify us promptly if you suspect any unauthorised use of your account.

You may not create more than one account without our consent, share your account with others, or transfer your account to anyone else.

We may suspend or terminate your access to the Service at any time if you breach these Terms or if we reasonably believe your use of the Service creates risk to us, other users, or any third party.

4A. Acceptable Use

The Service is a sourcing platform. You may only use it for genuine, lawful, business-sourcing purposes. The following sections explain what is not allowed. We take this seriously. Breach of any of these rules may result in immediate suspension or termination of your account, removal of your content, and where appropriate, referral to law enforcement or regulators.

4A.1 Lawful purpose only

You must not use the Service:

  • for any unlawful purpose, or to source any goods, services, or activities whose import, export, sale, possession, or use would be illegal under any law that applies to you, to the supplier, or to the destination of the goods;
  • in violation of any sanctions, export controls, anti-money-laundering, anti-bribery, anti-terrorism financing, anti-corruption, forced-labour, modern slavery, consumer protection, product safety, or other applicable laws;
  • to attempt to deal with any person who is on a sanctions, trade restriction, or forced-labour list maintained by any government or international body, or any entity owned or controlled by such a person;
  • to facilitate fraud, tax evasion, customs evasion, smuggling, or other financial crime;
  • to circumvent any embargo, sanction, or trade restriction;
  • to source any goods intended for use in connection with weapons of mass destruction, military end-use in restricted destinations, or other end-uses prohibited by export-control law;
  • in a way that infringes the intellectual property, privacy, publicity, contractual, or other legal rights of any third party.

4A.2 Prohibited and dangerous goods

You must not use the Service to source, enquire about, or seek to arrange the supply of:

  • weapons, firearms, ammunition, explosives, or parts of any of them;
  • military or defence articles, dual-use items, or items subject to export licensing in any jurisdiction relevant to the transaction, unless you hold all necessary licences and permits;
  • controlled drugs, narcotics, precursor chemicals, or drug paraphernalia;
  • regulated pharmaceuticals, prescription medicines, or medical devices, unless lawfully permitted in your jurisdiction and the supplier's jurisdiction and you hold all necessary authorisations;
  • supplements, foods, or cosmetics making medical, therapeutic, or unverifiable health claims;
  • hazardous chemicals, radioactive materials, biological agents, or other substances whose international trade is restricted under applicable international conventions or national law;
  • live animals, animal parts, or items derived from endangered or protected species;
  • human remains, human body parts, or human tissue;
  • child sexual abuse material or any sexual content involving minors;
  • pornographic, obscene, or sexually explicit material;
  • counterfeit goods, goods bearing infringing trademarks, or goods that infringe copyright, design rights, patents, or other intellectual property rights;
  • goods that have been stolen, smuggled, or otherwise unlawfully obtained;
  • gambling devices or services in jurisdictions where prohibited;
  • tobacco products, e-cigarettes, vapes, or related accessories where prohibited;
  • alcohol where prohibited locally;
  • cryptocurrency, virtual currency, or financial products in jurisdictions where prohibited;
  • dating, escort, or adult-services categories where prohibited by applicable platform rules or law;
  • any other category Chinasource publishes from time to time as prohibited.

If you are unsure whether a category is permitted, do not use the Service for that purpose. Ask us first.

4A.3 Honesty and good faith

You must not:

  • provide false, inaccurate, incomplete, or misleading information;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • create accounts using false names, false business identities, or details belonging to anyone else;
  • use the Service if you have previously been suspended or terminated by us, unless we have agreed otherwise in writing;
  • use the Service to engage in any practice that is deceptive, fraudulent, or commercially dishonest.

4A.4 Don't misuse the AI

The AI agent is a tool for sourcing. It is provided for that purpose and not as a general-purpose AI assistant. You must not:

  • use the Service or the AI agent for any purpose other than genuine business sourcing;
  • attempt to make the AI agent generate or respond to content that is unrelated to sourcing (for example, unrelated essays, code, schoolwork, creative writing, or general-purpose conversation);
  • attempt to extract, replicate, or reconstruct the AI agent's underlying model, system prompt, training data, or operating parameters;
  • attempt to use the AI agent as a back-door route to obtain regulated advice (legal, tax, customs, financial, medical, export-control, or otherwise);
  • attempt to use the AI agent to obtain opinions, ratings, reliability assessments, audits, verifications, certifications, due-diligence reports or background checks of named third parties, including specific suppliers;
  • attempt prompt injection, jailbreaking, or any other technique intended to cause the AI agent to ignore its rules, generate prohibited content, or behave outside its intended scope;
  • submit prompts designed to overwhelm, degrade, manipulate, or destabilise the AI agent or the Service (including excessively long inputs, recursive instructions, deliberately malformed queries, or automated mass submissions);
  • attempt to cause the AI agent to generate hate speech, harassment, defamation, sexual content, content depicting real identifiable persons in a negative light, or any other content prohibited by these Terms or by applicable law;
  • use the AI agent's outputs to train, fine-tune, evaluate, benchmark, or improve any other artificial intelligence model;
  • present AI-generated content as having been independently verified, audited, or certified by Chinasource.

If the AI agent declines to answer a question or refers you elsewhere, that is by design. Do not attempt to work around the refusal.

4A.5 Don't reverse engineer or misuse the Service

You must not:

  • copy, reproduce, modify, adapt, translate, or create derivative works of the Service, in whole or in part, except as expressly permitted by these Terms or by mandatory applicable law;
  • reverse engineer, decompile, disassemble, or attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Service;
  • access or use the Service to build a competing product or service, or to copy any features, functions, or design of the Service;
  • access or use the Service for benchmarking, competitive analysis, or comparable purposes without our prior written consent;
  • remove, obscure, or alter any proprietary notices, branding, or watermarks on the Service or on any content provided through it;
  • frame, mirror, or otherwise display the Service on any other website or service without our prior written consent;
  • introduce malware, viruses, worms, ransomware, trojans, time bombs, keystroke loggers, spyware, adware, or any other harmful code;
  • interfere with, disrupt, overload, or impair the operation of the Service, the servers or networks that host the Service, or the security or integrity of any account;
  • attempt to gain unauthorised access to the Service, to any account, to any system or network connected to the Service, or to any data held by us or on our behalf;
  • circumvent, disable, or otherwise interfere with any security, authentication, rate-limiting, or access-control feature of the Service;
  • conduct any security testing, penetration testing, vulnerability scanning, or similar activity without our prior written consent.

4A.6 Don't scrape, harvest, or extract

You must not:

  • scrape, crawl, spider, harvest, or systematically download content, data, or supplier information from the Service, whether manually or using automated tools (including bots, scripts, browser extensions, screen-scraping software, or AI agents acting on your behalf);
  • collect, extract, store, or aggregate supplier names, contact details, product information, pricing, trade or market data, or other data from the Service for any purpose other than your own legitimate sourcing communications;
  • use any data obtained through the Service to train, fine-tune, or improve any artificial intelligence model, dataset, or product;
  • sell, license, redistribute, publish, or otherwise commercialise any data, content, or output obtained through the Service;
  • use the Service to compile or contribute to any directory, database, mailing list, or commercial dataset.

4A.7 Don't infringe IP or other rights

You must not use the Service:

  • to infringe any patent, trademark, copyright, design right, database right, trade secret, or other intellectual property right;
  • to misappropriate any confidential or proprietary information of any third party;
  • to defame, libel, slander, harass, threaten, intimidate, or stalk any person;
  • to violate any person's privacy, publicity, or data-protection rights;
  • to upload, send, or distribute any content for which you do not hold the necessary rights and permissions;
  • to remove or attempt to remove any copyright notice, trademark, or other proprietary marking from any content.

4A.8 Don't spam or harass suppliers

You must not:

  • contact suppliers other than through the channels Chinasource provides or directs you to;
  • send unsolicited communications to suppliers in volume;
  • pursue suppliers who have declined to engage or who have asked you to stop contacting them;
  • use supplier contact details obtained through the Service for any purpose other than the specific sourcing enquiry to which they relate;
  • engage in price manipulation, bid rigging, market division, or any other conduct that may breach competition or antitrust law.

4A.9 Reporting and cooperation

You must promptly notify us if you become aware of:

  • any actual or suspected breach of these Terms by any user;
  • any actual or suspected security vulnerability or breach affecting the Service;
  • any actual or suspected misuse of the Service, including suspected involvement of sanctioned persons, prohibited goods, or other illegal activity;
  • any legal claim, regulatory enquiry, or formal complaint relating to your use of the Service.

We may investigate suspected breaches and you agree to cooperate reasonably with our investigation. We may also be required to disclose information to law enforcement, regulators, or other authorities, and we will do so where legally required.

4A.10 Consequences

If you breach these acceptable use rules, we may take any or all of the following actions, in our discretion and without prior notice:

  • issue a warning;
  • restrict, suspend, or terminate your account and any related accounts;
  • remove or block any content or enquiries;
  • refuse to provide the Service to you in future;
  • preserve and disclose information to law enforcement, regulators, or affected third parties;
  • pursue legal action to recover loss caused by your breach.

Suspension or termination for breach of these rules is without prejudice to any other rights or remedies we may have.

5. How Suppliers Are Presented

Chinasource suggests suppliers from our directory based on the information you provide and information we hold about suppliers. Suppliers pay Chinasource to promote their products and reach overseas buyers. Buyers use Chinasource free of charge. This commercial model affects which suppliers appear in your suggestions — we suggest suppliers from our paying supplier base. We aim to suggest suppliers we reasonably believe match your stated requirements, but we do not guarantee that any particular supplier is suitable, capable, reliable, or compliant with applicable law.

We do not audit, verify, certify, or vouch for any supplier. Any descriptive information we display about a supplier (product categories, location, public trade records, self-reported attributes) is provided for information only. You must conduct your own due diligence on any supplier before entering into any transaction.

Some parts of the Service display trade and market information, such as export statistics, trends, leading exporters, and destination markets. This information is aggregated, is licensed to us by third-party data providers, and is not generated or independently verified by us. It may be incomplete, out of date, or inaccurate. You should not rely on it as the basis for any sourcing or commercial decision.

If we screen suppliers against sanctions or other restricted-party lists, we do so for our own risk-management purposes only. Any such screening is not a representation to you and you must independently satisfy yourself that any supplier and any transaction is lawful for you.

6. Communications With Suppliers

Once we understand what you're looking for, your conversation with the AI agent becomes visible to suppliers in our directory who match that product category. There may be many. We'll tell you in the chat before this happens and ask you to confirm.

Any of those suppliers can then contact you directly on WhatsApp using your number. You can block any supplier, end any conversation, or reply STOP at any time.

Please keep this in mind while you're chatting with the AI agent. Don't share anything in the conversation that you wouldn't want a supplier to see, such as confidential pricing, personal details, or information belonging to someone else.

7. WhatsApp

If you use the Service through WhatsApp, your use is also subject to WhatsApp's own terms of service and privacy policy. WhatsApp is operated by Meta, not by Chinasource. We are not responsible for WhatsApp's service, and WhatsApp is not responsible for Chinasource's service. If WhatsApp suspends, terminates, or restricts our WhatsApp Business Account, you may lose access to the Service through WhatsApp and to any conversations stored within WhatsApp.

8. Privacy

Our Privacy Policy, available at https://www.chinasource.com/privacy, explains how we collect, use, share, and protect your personal data. By using the Service, you acknowledge our Privacy Policy.

9. Intellectual Property

Chinasource and its licensors own the Service, the underlying technology, the AI models, the supplier directory, our trademarks, and all related intellectual property. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for the purposes contemplated by these Terms.

You grant Chinasource a worldwide, royalty-free, non-exclusive licence to use your sourcing requirements and conversation content to provide the Service to you, suggest suppliers, make your conversation and contact details available to suppliers in accordance with Section 6, and operate and improve the Service. We do not use your conversation content to train any artificial intelligence model other than fine-tuning a Chinasource-only model, and we will not share it with any other party for that purpose.

You retain ownership of any content you provide. AI-generated outputs are made available to you on an as-is basis; to the extent any intellectual property rights subsist in them, we grant you a non-exclusive licence to use them for your sourcing purposes.

10. Disclaimers and No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY OR REPRESENTATION THAT:

  • ANY SUPPLIER IS RELIABLE, CAPABLE, FINANCIALLY SOUND, COMPLIANT WITH APPLICABLE LAW, OR SUITABLE FOR YOUR NEEDS;
  • ANY GOODS OR SERVICES SOURCED THROUGH THE SERVICE ARE OF SATISFACTORY QUALITY, FIT FOR PURPOSE, AUTHENTIC, OR COMPLIANT WITH APPLICABLE LAW;
  • ANY AI-GENERATED OUTPUT IS ACCURATE, COMPLETE, RELIABLE, OR FIT FOR ANY PARTICULAR PURPOSE, OR CONSTITUTES AN AUDIT, VERIFICATION, CERTIFICATION OR DUE-DILIGENCE REPORT OF ANY KIND;
  • ANY TRADE OR MARKET INFORMATION DISPLAYED ON THE SERVICE, INCLUDING EXPORT STATISTICS, TRENDS, LEADING EXPORTERS, AND DESTINATION DATA LICENSED FROM THIRD-PARTY PROVIDERS, IS ACCURATE, COMPLETE, CURRENT, OR FIT FOR ANY PARTICULAR PURPOSE;
  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including, for consumers, mandatory consumer-protection rights).

11. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Chinasource's total aggregate liability to you for all claims arising out of or in connection with the Service and these Terms shall not exceed the greater of (a) US$100 or (b) the total fees you have paid to Chinasource in the 12 months preceding the event giving rise to the claim. Because the Service is free for buyers, fees paid will typically be zero, in which case the cap is US$100.
  • Chinasource shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or business opportunity, whether based in contract, tort (including negligence), strict liability, or otherwise, and whether or not we have been advised of the possibility of such damages.
  • We are not liable for the acts, omissions, products, services, content, statements, or compliance failures of any supplier, buyer, or other third party (including WhatsApp / Meta and other platforms or service providers).

These limitations apply to the maximum extent permitted by law, even if any limited remedy fails of its essential purpose. Nothing in this clause excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Chinasource, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • your use of the Service;
  • any transaction you enter into with any supplier;
  • your breach of these Terms;
  • your violation of any applicable law (including sanctions, export controls, anti-bribery, IP, and product-safety laws); or
  • any content or information you provide.

13. Suspension and Termination

We may suspend or terminate your access to the Service at any time, for any reason, with or without notice, including if you breach these Terms, if we are required to do so by law or by a platform on which we depend (including WhatsApp / Meta), or if we discontinue the Service.

You may stop using the Service and close your account at any time. Sections 2, 3, 5, 9 (second paragraph), 10, 11, 12, 14, 15, and 16 survive termination.

14. Changes to the Service and These Terms

We may modify the Service or these Terms at any time. If we make material changes to these Terms, we will notify you (for example, by email, in-app notice, or WhatsApp message) before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms or the Service, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the SIAC in force at the time. The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English. The award shall be final and binding on the parties.

Nothing in this clause prevents either party from seeking interim or injunctive relief from any court of competent jurisdiction.

If you are a consumer resident in a jurisdiction whose mandatory law gives you a right to bring proceedings in your home courts or before a consumer dispute body, that right is preserved.

16. General

These Terms (together with our Privacy Policy and any other terms we reference) are the entire agreement between you and Chinasource regarding the Service and supersede any prior agreement.

If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect.

Our failure to enforce any right or provision is not a waiver.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

These Terms create no agency, partnership, joint venture, employment, or franchise relationship between you and Chinasource. There are no third-party beneficiaries.

Notices to us should be sent to service@chinasource.com. Notices to you may be sent to the email address or WhatsApp number you provide.
